This Code of Ethics and Conduct sets out the principles, values and standards of behaviour that guide the activity of IHT, Lda. and its relationship with its employees, customers, suppliers, partner companies and other stakeholders.
The Code of Ethics and Conduct of IHT, Lda. — hereinafter the "Code" — brings together the principles that frame the company's activity, along with the ethical and professional standards to be observed by the members of its governing bodies and by all its employees.
These principles apply to relationships with customers, suppliers, partner companies, local communities, public authorities and, in general, with all of IHT's stakeholders.
The Code also applies to third parties contracted by IHT or acting on its behalf, where IHT may be held responsible for their acts or conduct.
The Code has the following objectives:
Monitoring the application of this Code is the responsibility of the Ethics and Conduct Committee or of any other body the Committee itself designates for that purpose.
Any situation, query or complaint relating to the application of the Code may be reported to the Ethics and Conduct Committee. Reports received are handled in strict confidence.

IHT ensures strict compliance with the applicable national and international legal, regulatory and statutory provisions in the territories where it operates. It respects employees' rights, in particular those relating to collective representation, along with the applicable collective bargaining guidelines.
IHT provides supervisory and regulatory authorities with all necessary cooperation and supplies the information requested, as far as it is able and in accordance with the law.
IHT respects the rules of the market and promotes fair competition, and avoids any practice that could appreciably prevent, distort or restrict competition. Relationships with competitors should be healthy, cordial and based on mutual respect.
IHT acts with integrity and maintains systems for preventing and controlling fraud and irregularities, in particular in financial and asset matters, conflicts of interest and the misappropriation or misuse of information.
IHT treats its customers with professionalism, efficiency, respect, loyalty, good faith and dedication. It guarantees equal treatment between customers and does not permit any unjustified discrimination.
The company offers products and services designed to meet customers' needs, respecting the conditions agreed, the commitments made and the expectations placed in IHT.
All IHT employees and governing bodies, whatever their position, should direct their conduct towards building a relationship of empathy and trust with the customer, based on the best possible value proposition and on the customer's long-term satisfaction.
In dealing with customers, employees should in particular:
IHT selects its suppliers on impartial, fair and transparent criteria, without privilege or favouritism. That selection takes into account not only the commercial terms and the quality of the products or services offered, but also the supplier's ethical conduct, as assessed by IHT.
IHT acts with loyalty and good faith in its relationship with partner companies, and gives priority to clear, objective communication, with the aim of building long-term relationships of trust.
IHT's procedures are governed by principles of economic rationality, efficiency, transparency and fairness. No form of abuse, corruption, undue pressure or money laundering is tolerated.
IHT acts with loyalty towards its shareholders, taking their interests into account and with the aim of creating value and controlling risk.
The company respects legal principles and equal treatment between its shareholders, and makes the necessary information available to them in an appropriate, honest, transparent and rigorous manner.
Cooperation
IHT maintains an attitude of cooperation with public authorities and local communities, based on transparency, independence, availability and openness to dialogue, with the aim of contributing to improving the legal and regulatory environment of its activities.
Independence
IHT remains independent of public institutions and political parties, without prejudice to relationships of a professional nature. Under no circumstances does IHT fund political parties or organisations whose purpose is essentially political.
Meeting obligations
IHT strictly complies with the applicable national and international legislation in the geographical areas where it operates and meets all its legal and contractual obligations. Information requested and required by law is submitted to public and supervisory bodies rigorously, appropriately and within the deadlines set.
IHT defines its human resources policies with respect for the dignity, diversity and rights of each individual, and guarantees practices of equality and non-discrimination.
Any form of individual discrimination incompatible with a person's dignity is prohibited. Conduct amounting to harassment, intimidation, abusive pressure or abuse of power is likewise prohibited.
IHT does not permit any form of forced labour, unpaid labour, work carried out by minors or any other work outside the legal framework.
IHT treats each individual fairly and supports equal opportunities in their personal and professional development, in particular through rigorous and constructive performance appraisal, participation in professional training programmes and encouragement of activities outside work.
IHT remunerates its employees fairly, having regard to the applicable legislation, their responsibilities and their performance.
IHT respects and promotes the balance between working and personal life, in particular by respecting all employees' holiday, rest and break periods.

Decisions taken by line managers must be implemented in accordance with the company's plans, and it is for those managers to encourage and support their teams in carrying them out. Employees must not commit IHT through their personal actions.
Employees must carry out their duties in strict compliance with the laws, regulations and standards applicable to their activity, in accordance with the responsibilities assigned to them and with impartiality, competence, rigour, diligence and transparency.
Any delegated authority must be used responsibly and not abusively, in the service of the company's objectives and never for personal gain.
Employees must respect IHT's values and the principles set out in this Code, in both internal and external relationships. They must report any irregularity that could compromise the conduct of the company's activities or its reputation.
Employees must avoid any situation that could give rise to a conflict of interest, in particular where they are involved in decisions that affect, directly or indirectly, entities they work with or have worked with, or individuals with whom they have personal, family or close ties.
Where such a situation cannot be avoided, they must inform their line manager.
Employees must refrain from taking on outside roles where these would compromise the fulfilment of their obligations to IHT or where they are carried out in organisations whose objectives could conflict or interfere with those of IHT.
Employees must not accept from, or offer to, third parties any gifts, payments or benefits that could create an expectation of privileged treatment in dealings with the company.
Gifts received from third parties that go beyond simple courtesy or a token value must be reported to the line manager and refused where they could be interpreted as a means of obtaining a favour.
IHT encourages respect and cooperation throughout its team, in a dignified, safe and professional working environment. Any practice of harassment, intimidation, humiliation, abusive pressure or behaviour that undermines a person's dignity is prohibited.
Any unwanted behaviour intended or having the effect of disturbing, coercing or destabilising a person, undermining their dignity, disrupting their working environment or unduly influencing a decision relating to employment is prohibited.
Where a situation of harassment is reported in writing, the corresponding internal procedure will be opened in accordance with the applicable rules. The report is handled with confidentiality, impartiality and respect for the right to be heard. Anyone who reports a situation in good faith or assists in its investigation may not be subject to retaliation.
IHT employees are bound by a duty of secrecy, including after their duties have ended, in particular in relation to information which, by virtue of its importance, an internal decision or the applicable legislation, should not be made public.
They must exercise discretion and restraint regarding the facts and information they become aware of in the course of their duties and must comply with the internal rules on the confidentiality of information.
Personal data must be processed lawfully, fairly and carefully, in order to protect each individual's privacy and in strict compliance with the applicable legal rules.
Employees must behave loyally towards IHT and undertake to preserve its credibility, good image and standing in all circumstances.
Employees must safeguard the integrity, protection and preservation of IHT's physical, financial and intellectual assets. The resources made available to them must be used efficiently, in the service of the company's objectives, and not for personal purposes or for the benefit of third parties.
IHT manages its business with diligence and transparency, and creates conditions favourable to dialogue within the management bodies on objectives, strategy, risk analysis and performance assessment, in accordance with high standards of corporate governance.
Employees must refrain from entering into or maintaining contracts or transactions on terms other than normal market terms with entities that have business relationships with IHT or that are controlled by its directors.
This rule applies in particular to transactions relating to loans, discounts, payment terms, sales of goods or provision of services that could interfere with the institutional or commercial relationships between those entities and IHT, or between the employees benefiting and those entities.
IHT tolerates no corrupt practice in any of its forms, active or passive, including facilitation payments or any action intended to create, maintain or promise an irregular or favourable situation.
It is prohibited to offer, make or authorise an improper payment, in money or in any other form, to any person, including local or foreign authorities, anywhere in the world.
It is likewise prohibited to offer or accept money or any benefit of value — in particular gifts, gratuities or commissions — in connection with a commercial activity, the award of a contract or obtaining a level of service to which one would not normally be entitled.
Employees must not give interviews or provide information to the media, whether on their own initiative or at the request of third parties, without first notifying IHT's management.
When using social networks, employees must observe the standards of conduct set out in this Code. They must not publish confidential or internal information about IHT and must confine themselves to public information, always bearing in mind the possible consequences of any post relating to the company.
Employees must protect IHT's image and refrain from publishing content that could be unlawful, offensive, defamatory or threatening, or that could damage IHT's image and reputation.
The Ethics and Conduct Committee of IHT, Lda. oversees the application of this Code and receives any situations, queries or complaints addressed to it.
